OFFERS AND COST ESTIMATES
The offers issued by Vetronaviglio Srl are valid for a 2-month period starting from their issue date.
The prices indicated on each estimate and offer are in Euro currency, taxes and delivery costs are not included.

ORDERS
Each order addressed to Vetronaviglio Srl entails the acceptance by the customer of the hereby specifications and Vetronaviglio’s standard general conditions.
Vetronaviglio Srl won’t be liable for any requests by the customer not in line with the hereby general conditions, except when there is a written agreement.
Orders addressed to Vetronaviglio Srl are binding only after written communication through transmission of an order confirmation.
In addition Vetronaviglio Srl may decline to fulfil any order, although confirmed, in case due amounts from previous orders are not fully settled.

PRODUCTION PROCESS/QUALITY CONTROL
The production processes and AQLs undertaken by Vetronaviglio Srl are those defined in its general conditions for cosmetics/perfumery:

Bottles and accessories

CRITICAL: 1,0
MAJOR: 1,5
MINOR: 6,5

Perfumery glass bottles and similar

Very critical: 0,1
Critical B: 0,65
Functional faults C: 1,0
Functional faults D: 1,5
Appearance faults E: 6,5

EQUIPMENTS
Expenses originating from the manufacturing or purchasing of equipment required to fulfil the order will be partially invoiced to the customer as a contribution. The charged amount will be based on the costs drawn up in the offer/estimate accepted by the customer.
These costs will be invoiced also in case of cancellation or modification of the order subsequent to the manufacturing and/or setup of the same equipment.
At any rate Vetronaviglio Srl remains sole owner of the aforesaid equipment.

REJECTION PERCENTAGES
Each order binds the customer to accept slightly lower/greater quantities than ordered, within the tolerance limits stated in the order confirmation for each type of production.

PACKING
All materials are packaged in corrugated board boxes, the boxes are arranged on EPAL 800 X 1200 pallets, as indicated in the STD palletization scheme. Each box has an external label indicating all identification and production information. Any specific packing required by the customer will have to be negotiated and agreed upon during the offer.

LEAD TIME
Lead times are given on a tentative basis and start from the reception by Vetronaviglio Srl of all the necessary elements for the completion of the order. Any postponements in the lead time cannot in any case bring about the cancellation of the existing order or indemnities for damages or interests. Each amendment of the order by the customer will involve a new lead time to be confirmed by Vetronaviglio Srl.

DELIVERY AND FREIGHT
In accordance with the order specifications of the customer, the goods are either put at disposal in Vetronaviglio Srl’s warehouse or delivered to the designated address. The goods are carried at buyer’s costs and risk. The customer will have to inspect them on receipt and, in case of damages, may address a complaint to the carrier according to transport standards.

LOT ACCEPTANCE OR REJECTION CHECK
•    The lot is ACCEPTED when the number of faulty items is equal to or lower than the NA acceptance lot for each of the defect categories
•    The lot is ACCEPTED with Claim when the number and class of faulty items may cause the lot to be considered close to the acceptance limit
•    The lot is REJECTED when the number of non-complying items is higher than the rejection number NR for at least one of the fault specifications

PAYMENT TERMS
With the exception of specific conditions fixed during the definition of the offer, the invoices issued by Vetronaviglio Srl are payable on receipt of the goods, with no discounts, by check or bank transfer.
In case of deferred payment, as agreed in the offer, Vetronaviglio Srl reserves the right to revise the granted payment terms in the following two occurrences:
The total due amounts related to previous orders are not fully settled.
Dubious solvency of the customer or late payment.

STORAGE
The goods are stocked free of charge in Vetronaviglio Srl’s warehouse for a maximum period of 90 days from the date of order completion.
After this period the customer will be charged a monthly sum of 15,00 Euro per pallet for storage expenses.
In case of non-payment of said expenses and after a collection of goods injunction sent to the customer proves ineffective, Vetronaviglio Srl reserves the right to scrap the goods without the possibility for the customer to ask for damages or compensation.

INSURANCE
As owner of the goods stocked in Vetronaviglio Srl’s warehouse, the customer undertakes to have them insured by a trustworthy insurance company against theft, damages, damages caused by electricity, fire or water.

LIABILITY
The limits of Vetronaviglio Srl’s liabilities are defined in the general conditions.
Consequently Vetronaviglio Srl’s liability is strictly limited to the replacement or refund of defective goods, to be identified in accordance with the terms stated in the general conditions (not including the rejection percentages accepted by the customer).
Under no circumstances Vetronaviglio Srl can be deemed liable for damages caused by raw materials or for any incompatibility with products in use, or subsequent treatments and handling. It is the customer’s duty, prior to the beginning of production, to check the compatibility of the supplied goods with the product to be employed.

COURT OF COMPETENT JURISDICTION
The contract engaging the customer and Vetronaviglio Srl will be subject to Italian law.
Any controversy that may arise between Vetronaviglio Srl and the customer involving the same contract, even in case of several instances or parties or testimonies, will depend upon the competent court in Vetronaviglio Srl’s registered office, i.e. Milan’s court of justice.
